Whistleblower takes PIC board fight to Parliament, alleging minister tried to halt Dlamini suspension
A whistleblower has dragged the Public Investment Corporation’s governance battle into Parliament, accusing Finance Minister Enoch Godongwana of trying to interfere after directors voted 9-2 to suspend chief executive Patrick Dlamini. The allegation lands as pressure rises on one of South Africa’s most important state-linked fund managers, which oversees vast public assets.
The claims were set out in a notice submitted to Parliament’s Standing Committee on Finance, a document seen by the Mail & Guardian. It says the minister pushed board members to undo the suspension decision and later warned he would dissolve the board if they refused.
Board vote, then pushback
Last week, PIC chairperson David Masondo confirmed the board had placed Dlamini on precautionary suspension pending an investigation into allegations raised in a whistleblower complaint. He said the board voted by nine directors to two in favour of suspension, though he did not name how individual members voted.
Masondo argued that sharp disagreement inside the boardroom was not a sign of failure. It was, he said, part of healthy corporate governance. The message was plain. The board had made its decision.
But sources with direct knowledge of the matter say the vote did not end the fight.
According to those sources, Godongwana opposed the move. They say the minister then sought to persuade directors to rescind the resolution. When that failed, the sources allege, he escalated the pressure by telling board members he would dissolve the board unless they reversed course.
A governance test for a major state investor
The PIC sits at the centre of South Africa’s state investment machinery, which makes this dispute bigger than an internal personnel row. Any suggestion of political interference in board decisions can quickly spill into wider questions about governance, oversight and the line between shareholder authority and operational independence.
That is why the whistleblower’s move to Parliament matters. The finance committee now has a formal account of the alleged interference, and the board’s handling of Dlamini’s suspension has shifted from an internal process into a public institutional dispute.
Masondo’s confirmation of the suspension already signalled deep disagreement at the top of the organisation. The whistleblower notice adds a new layer: not just a contested boardroom vote, but an allegation that a cabinet minister tried to overturn it.
The PIC has not been described here as issuing any fresh public response to the latest claims, and the matter now appears to rest with Parliament’s finance committee and the wider governance process around the suspended chief executive.
For now, one fact stands out. The board vote was 9-2. That split is now at the centre of a fight that has moved from the PIC boardroom to Parliament’s doorstep.
